Terms of Service

These Terms of Service (“Terms”) govern your access to and use of filmassist.help (the “Site”) and the advisory membership services (the “Services”) offered by The Shimazu Group LLC (“Film Assist,” “we,” “us,” or “our”).
By creating an account, subscribing to a membership, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and legally able to enter into a contract to use the Services. By using the Services, you represent that you meet these requirements.
2. The Services
Film Assist provides advisory and consulting support only to window film installers. This includes guidance on:
- Quoting and pricing strategy
- Product selection and specifications
- Installation techniques and troubleshooting
- Project review and recommendations
- Communication via email, text, photo, video, and scheduled video calls (Zoom or FaceTime), as defined by your membership tier
The Services do NOT include:
- On-site installation or physical labor
- Warranties on film products or installations
- Engineering certifications or stamped specifications
- Legal, tax, accounting, or licensing advice
- Guarantees of project outcomes, customer satisfaction, profit margins, or business results
- Weekend, holiday, or after-hours emergency support
- Responsibility for your employees, subcontractors, insurance, or licensing compliance
3. Membership Tiers and Subscriptions
Pricing
Membership is offered in tiers (currently Basic, Standard, and Premium) at the prices shown on the Site. Prices are in U.S. dollars and are billed monthly in advance through our payment processor (Stripe).
Auto-Renewal
Memberships automatically renew each month until canceled. By subscribing, you authorize us (through Stripe) to charge your payment method on the same day each month at the then-current rate.
Tier Benefits
Tier benefits — including response times, scheduled call quantities, and priority access — are described on the Site at the time of purchase. We may modify benefits with reasonable advance notice.
Service Hours
All Film Assist services are available Monday through Friday, 9:00 AM to 5:00 PM Pacific Time, excluding U.S. federal holidays. Messages and requests submitted outside of business hours will be addressed on the next business day. Film Assist does not provide weekend, holiday, or after-hours emergency support under any tier. Unused calls, messages, or response time do not roll over from month to month.
Price Changes
We may change membership prices. Existing members will receive at least 30 days’ notice of any price increase by email. If you do not agree, you may cancel before the new price takes effect.
4. Cancellation, Refunds, and Account Termination
Cancellation
You may cancel your membership at any time through your account dashboard or by emailing filmassist@comfortproca.com. Cancellation takes effect at the end of your current billing period — you keep access through the period you’ve paid for.
No Refunds
All payments are non-refundable. We do not provide partial-month, prorated, or full refunds for any reason, including:
- Unused calls, sessions, or response time
- Cancellation before the end of a billing period
- Dissatisfaction with advice or recommendations
- Failure to use the Services
- Disputes with your customers or installation outcomes
Termination by Us
We may suspend or terminate your account at our discretion if you:
- Violate these Terms
- Engage in abusive, harassing, or illegal conduct
- Misrepresent yourself or your business
- Fail to pay fees
- Attempt to misuse, resell, or share access to the Services
If we terminate your account for cause, no refund is owed.
5. Account Responsibilities
You are responsible for:
- Maintaining accurate account information
- Keeping your password confidential
- All activity on your account
- Notifying us immediately of unauthorized access
You may not share your account credentials with anyone else. Memberships are for a single business or installer — not for resale, agencies, or shared use.
6. Acceptable Use
You agree NOT to:
- Use the Services for unlawful purposes
- Misrepresent project information to obtain advice
- Resell, repackage, or redistribute our advice or content
- Record or share calls without our consent
- Reverse-engineer, scrape, or harvest data from the Site
- Interfere with the Services or other users
- Upload viruses, malware, or harmful code
- Impersonate any person or entity
7. Advisory Disclaimer — IMPORTANT
Film Assist provides advisory support only. All advice, recommendations, opinions, and information are provided for your reference. You alone are responsible for:
- Your final installation decisions and methods
- Customer relationships, contracts, quotes, and disputes
- Compliance with manufacturer warranties, building codes, and laws
- Project outcomes, including any failures, damage, or losses
- Verifying that any advice fits your specific project conditions
We are not liable for install failures, warranty claims, customer disputes, property damage, lost profits, or any outcomes on your projects.
You acknowledge that window film installation involves variables (substrate, glass, environment, technique) we cannot inspect or control remotely. Our advice is based on information you provide. If that information is incomplete or inaccurate, our recommendations may not apply.
8. Intellectual Property
Our Content
All content on the Site and provided through the Services — text, graphics, logos, advice, training materials, recordings, and software — is owned by The Shimazu Group LLC or licensed to us. You receive a limited, non-exclusive, non-transferable license to use it for your own business while your membership is active.
You may NOT:
- Copy, distribute, or republish our content
- Use our content to train competing services
- Remove copyright or trademark notices
- Use our trademarks without written permission
Your Content
You retain ownership of project photos, videos, and information you share with us. By submitting them, you grant us a limited license to use them solely for the purpose of providing the Services to you. We will not publish or share your content without your permission.
9. Third-Party Services
The Services may use or integrate with third-party tools (Stripe for payments, Zoom/FaceTime for calls, etc.). Your use of those tools is subject to their own terms. We are not responsible for third-party services.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, or that advice will produce any particular result.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST BUSINESS, INSTALLATION FAILURES, WARRANTY CLAIMS, CUSTOMER DISPUTES, OR PROPERTY DAMAGE.
- OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE.
These limitations apply regardless of the legal theory and even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to defend, indemnify, and hold harmless The Shimazu Group LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including attorneys’ fees) arising from:
- Your use of the Services
- Your projects, installations, or customer relationships
- Your violation of these Terms
- Your violation of any law or third-party rights
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.
Informal Resolution
Before filing any claim, you agree to contact us at filmassist@comfortproca.com and attempt to resolve the dispute informally for at least 30 days.
Venue
Any unresolved disputes will be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction there.
Class Action Waiver
You agree to bring claims only in your individual capacity, not as a class member or in a representative action.
14. Electronic Signature and Acceptance
By creating an account, checking the agreement box at signup, and (where applicable) typing your full legal name in the signature field, you:
- Acknowledge that you have read and understood these Terms
- Agree to be legally bound by them
- Consent to the use of electronic records and signatures under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the California Uniform Electronic Transactions Act
- Confirm that your typed name, together with the timestamp and IP address captured at signup, constitutes a valid signature equivalent to a handwritten signature
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or a notice on the Site at least 14 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance.
16. Miscellaneous
- Entire Agreement — These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us.
- Severability — If any provision is found unenforceable, the rest remains in effect.
- No Waiver — Failure to enforce a provision does not waive our right to enforce it later.
- Assignment — You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale.
- Force Majeure — We are not liable for delays or failures caused by events beyond our reasonable control.
